Discovery Communications Completes Acquisition Of Scripps Networks Interactive

Discovery Communications, Inc. (Nasdaq: DISCA, DISCB, DISCK) announced today that the company has successfully completed its acquisition of Scripps Networks Interactive, Inc. (Nasdaq: SNI).Moving forward, the combined company will be officially known as simply: Discovery, Inc.

“Today marks another critical milestone for Discovery, as we become a differentiated kind of media company with the most trusted portfolio of family-friendly brands around the globe,” said David Zaslav, President and Chief Executive Officer for Discovery. “As a new global leader in real life entertainment, Discovery will serve loyal and passionate audiences around the world with content that inspires, informs and entertains across every screen; deliver new ways for advertisers and distributors to reach highly targeted audiences at scale; and leverage our leadership position to create new value and growth opportunities for all of our stakeholders.”

The name change to Discovery, Inc. demonstrates a new focus on growth in the areas at which Discovery excels, telling stories across deeply loved genres and empowering superfans to explore their world wherever and whenever they choose.

In Africa, the acquisition sees Food Network and the Travel Channel join Discovery’s popular stable of networks currently available in the market; Discovery Channel, TLC, Discovery Family, Investigation Discovery (ID), Animal Planet, DTX and Discovery Science.

The acquisition is expected to be accretive to adjusted earnings per share and to free cash flow in the first year after closing, including significant cost synergies. The combination is expected to create a strong economic model with capacity for rapid debt repayment and a clear runway for growth and value creation.

Kenneth W. Lowe, former Chairman, President & CEO of Scripps Networks Interactive, will join Discovery’s board of directors, effective immediately.

Scripps shareholders will receive approximately $90 per share, consisting of $65.82 per share in cash and 1.0584 per share in Series C Common shares of Discovery stock valued based on a volume weighted average price (subject to elections and proration), in each case in accordance with the terms of the merger agreement. This includes a cash payment of $2.82 per share in connection with Discovery’s previously announced decision to exercise in full the cash top-up option under the merger agreement.

Nickelodeon Unveils Content Pipeline Of More Than 800 New Episodes, Details Expansion Into Location-Based And VR Experiences

Presentation Punctuated by Special Appearances by WWE Superstar and 2018 Kids’ Choice Awards Host John Cena; Lip Sync Battle Shorties’ Nick Cannon and JoJo Siwa; Cast Members of Rise of the Teenage Mutant Ninja Turtles Cast Members, Kat Graham, Brandon Mychal Smith and Josh Brenner; and Performances by the Cast of SpongeBob SquarePants: The Broadway Musical.

Nickelodeon, the number-one kids’ network, detailed its plans for serving the new and next generation of kids on new and next-generation platforms as it heads into the 2018-2019 season. With content plans spanning its ecosystem, Nickelodeon announced: its largest content pipeline ever–more than 800 brand-new episodes of new and returning series–a 20% increase over last year; opportunities in social through original short-form content; a reboot of Teenage Mutant Ninja Turtles and a remake of the preschool entertainment landmark, Blue’s Clues; moves into areas of emerging tech, with original VR and AR experiences; and location-based experiences, like this summer’s family musical festival, Nickelodeon SlimeFest. Details were unveiled during the network’s annual upfront presentation, held at New York City’s Palace Theatre, home of the critically acclaimed SpongeBob SquarePants: The Broadway Musical.

“With our share growing and content pipeline in overdrive, we are reinventing ourselves to best serve the new and next generation of audiences on new and next-generation platforms,” said Cyma Zarghami, President, Nickelodeon Group. “Kids are both our anchor and North Star, and that bond with the audience allows us to connect to them everywhere.”

During the presentation, Zarghami previewed the network’s upcoming content slate which includes: a development deal for Los Casagrandes, a brand-new companion series for animated hit The Loud House; Pony, a new animated comedy series developed by Nickelodeon International in the UK; a new game show, Keep It Spotless, executive produced by WWE Superstar John Cena; a second season of Lip Sync Battle Shorties, starring Nick Cannon and JoJo Siwa; the reimagined Rise of the Teenage Mutant Ninja Turtles; a remake of the groundbreaking series Blue’s Clues; and Musical Dares, a new short-form series created and executive produced by Nick Cannon, and the first project by Viacom Digital Studios for Nickelodeon’s YouTube channel.

Nickelodeon also reviewed plans to continue expanding its footprint through innovative new partnerships and technologies. Nick announced a new partnership with IMAX to bring to SlimeZone–its first multi-player, social VR experience–to select IMAX VR Centres globally this month. Plus, Nick is unveiling a brand-new AR mode for its number-one Sky Whalemobile gaming app, which averages two million active monthly users and has garnered nearly 30 million downloads.

The network is also expanding its location-based offerings with Nickelodeon SlimeFest, produced in partnership with Live Nation, the multi-day music festival for kids and families.

Nickelodeon also has created and launched a new brand campaign, called “That’s Me,” that showcases kids’ drive to be honest and authentic individuals who celebrate differences and diversity. Beginning this week, Nick will launch the first round of spots, which celebrates history-making women and highlights the brand’s longstanding legacy of strong female characters, to inspire and empower a new generation of girls.

With more than 800 episodes of new and returning series in its pipeline this season, Nickelodeon has content in every genre:

Preschool:
Nickelodeon is the number-one network for preschooler’s year to date, a leading position it has held for the past four years Nick currently owns eight of the top 10 shows for Kids 2-5 this year, led by number-one-ranked PAW Patrol. This season, the network will premiere more than 300 new episodes of returning hit shows, including PAW Patrol, Blaze and the Monster Machines, Shimmer and Shine, and Nella the Princess Knight. Nickelodeon has also greenlit the following new series:

Abby Hatcher, Fuzzly Catcher (26 episodes) –This animated preschool series centers on Abby and her new friends the Fuzzlies, who are amazing and quirky creatures that live in her family’s hotel. Together with her best Fuzzly friend Bozzly, Abby goes on wild adventures to fix Fuzzly mishaps and help them in any way she can. Produced by Spin Master Entertainment (PAW Patrol), Abby Hatcher Fuzzly Catcher features a social-emotional curriculum highlighting empathy, compassion and problem-solving skills.

Blue’s Clues (20 episodes) – This remake of the groundbreaking curriculum-driven, interactive series Blue’s Clues will bring back beloved puppy Blue for an all-new generation of preschoolers. The new series will be produced with a brand-new, live-action host and CG animation. Blue’s Clues was created by Traci Paige Johnson, Todd Kessler and Angela C. Santomero.

Butterbean’s Café (40 episodes) — This animated series centers on a fairy named Butterbean and her adventures running the neighborhood café with her friends. Butterbean’s Cafe features creative cooking, and a social-emotional curriculum that highlights entrepreneurial and leadership skills. Created by Jonny Belt and Robert Scull (Bubble Guppies), the series will premiere later this year.

Fashion Ally (working title, 40 episodes) – This animated series follows a little girl, Ally, in the high fashion world as she makes everything around her a bit brighter, bolder and more brilliant, one design fix at a time. Fashion Ally is created by Paula Rosenthal and produced by Slivergate Media (Sunny Day, Peter Rabbit).

The Swashbuckling Adventures of Capitán Calavera (working title, 20 episodes) – This animated action-adventure series follows 8-year-old Robi Montes, a brave and kind-hearted pirate, as he embarks on daring rescues, searches for treasures and keeps the high seas safe from villains like the nefarious pirate Bonnie Bones in a fantastical Caribbean world. The interactive series is created by Niki Lopez, Leslie Valdes and Valerie Walsh Valdes (Dora the Explorer), and infused with a Spanish-language and culture curriculum.

Animation:
Nickelodeon is the number-one network for Kids 2-11 and Kids 6-11 year to date. Besides being home to TV’s top two animated kids’ shows, The Loud House and SpongeBob SquarePants, Nick currently owns eight of the top 10 shows with Kids 2-11 and Kids 6-11. The network will air more than 200 episodes of returning animated hits like SpongeBob SquarePants and The Loud House this season, and has announced the following new shows:

Los Casagrandes (working title) – A companion to the animated hit The Loud House, this series in development follows Lincoln Loud’s friend Ronnie Anne and his brother Bobby Santiago as they adjust to their new life in the city, where they now live with their big, loving and chaotic multi-generational family, the Casagrandes.

Pony, an original 2D-animated buddy comedy that follows the life of an average girl, Annie, her (almost) average family and what happens when an excitable, unpredictable, loveable and talking pony comes to live with them in their city apartment. Pony is the first animated series to be greenlit for the U.S. from Nickelodeon International.

Rise of the Teenage Mutant Ninja Turtles (26-episodes) – This new re-imagined 2D-animated series follows the band of brothers as they discover new powers and encounter a mystical world they never knew existed beneath the streets of New York City. Along for the adventure is the Turtles’ most trusted ally, April O’Neil, a street savvy native New Yorker and Splinter, father figure and sensei to the Turtles. The series debuts later this year.

Live Action:
Nickelodeon is the number-one network for Kids 2-11 and Kids 6-11 year to date, with its February performance marking 18 straight months at number one with Kids 6-11. Nick currently owns eight of the top 10 shows with Kids 2-11 and Kids 6-11, led by shows like top-ranked The Loud House, The Thundermans , and Henry Danger. In live action, the network will roll out over 300 brand-new episodes of hit series including Henry Danger, The Thundermans, and Nicky, Ricky, Dicky & Dawn, and the following new and returning shows:

Keep It Spotless (20 episodes) – This new competition series, executive produced by WWE Superstar Jon Cena, features real kids competing in a variety of physical and paint-filled challenges with one goal in mind—to stay as clean as possible. Produced by ITV Entertainment and Hard Nocks South Productions, and based on a UK format from Possessed, Keep It Spotless is scheduled to premiere later this month.

Knight Squad (20 episodes) – This brand-new comedy, which premiered earlier this month, is set at a magical school for knights in training, where two mismatched students (Daniella Perkins and Owen Joyner) form an unlikely alliance to protect each other’s secret and pursue their dreams.

Lip Sync Battle Shorties (10 episodes, season two) – The hit competition series, renewed for a second season, features real kids lip-syncing pop songs in celebration of their favorite artists, while competing for the iced-out Shorties mic. Production will begin in Los Angeles this summer with multi-faceted entertainer Nick Cannon returning as host, along with show sidekick JoJo Siwa.

Short Form:

Musical Dares (10 episodes) – This brand-new, short-form series is a new twist on the classic concept of musical chairs. Created and executive produced by Nick Cannon, the live-action game show will combine real kids, physical competition and a full-blown dance party. Musical Dares is the first project by Viacom Digital Studios for Nickelodeon’s YouTube channel.

Additionally, Nickelodeon’s pipeline is rounded out with TV Movies and tentpoles including, Rocko’s Modern Life: Static Cling and Invader Zim specials. Cartoon Network Ushers In A New Wave Of Creators For Today’s Kids

Cartoon Network announced today its largest slate of content ever from a new wave of creators telling stories that are relevant and reflective of today’s kids. The network, which is seeing success in total consumption across its platforms, is also adding more than 30 new games and apps to its mobile and web portfolio that has over 200 million worldwide downloads and now includes a series of podcasts, VR and AR experiences.

Known for its immersive storytelling, Cartoon Network is introducing the next generation of creators with series including: Owen Dennis’ mysterious and magical adventure Infinity Train and Diego Molano’s Latin American supernatural comedy Victor and Valentino.

These new series will be joining Apple & Onion from George Gendi; the upcoming debut of Craig of The Creek by Matt Burnett and Ben Levin; Julia Pott’s Summer Camp Island bowing this summer; and Unikitty!, the newest series produced by Warner Bros. Animation, and based on the beloved character from The LEGO® Movie.

NEW SERIES

Apple & Onion – Apple and Onion, the eponymous characters of Cartoon Network’s newest buddy comedy created by George Gendi. The show stems from Cartoon Network’s global Artists Program and introduces best friends Apple and Onion who have decided to leave their hometowns to experience big city living.

Craig of the Creek – Co-created by three-time Emmy-nominated Steven Universe writers Matt Burnett and Ben Levin, Craig of the Creek follows the precocious Craig as he leads his best friends J.P. and Kelsey on comical journeys at their neighborhood creek, transforming everyday afternoons into thrilling expeditions through imaginative play.

Infinity Train – With a groundswell of fan support of the original short created through the Artist Program, this mystery adventure created by Owen Dennis follows a precocious young girl named Tulip who finds herself on a train full of infinite worlds and tries to find her way home. Infinity Train will debut in 2019.

Summer Camp Island – In this wildly imaginative series based on an original Cartoon Network short created by Julia Pott, Summer Camp Island will unfold the mysteries that Oscar and his best friend Hedgehog encounter at a magical summer camp. Having completed a momentous festival run that included Sundance Film Festival, the highly anticipated series will premiere this summer.

Victor and Valentino – Created by Diego Molano, this supernatural adventure comedy follows two half-brothers who spend a summer with their grandma in Monte Macabre, a small and mysterious town, where the myths and legends of Latin American folklore come to life. Victor and Valentino can be seen later this year.

RETURNING SERIES

Adventure Time – Cartoon Network and Mojang expand their partnership with an original Minecraft episode expected to premiere this summer. In the special episode titled, “Diamonds and Lemons,”while Finn and his friends unite to dig for treasure and fight off enemies, they experience setbacks and creative triumphs in a fantastic new vision of Ooo. The series is created by Pendleton Ward and executive produced by Adam Muto.

Ben 10 – Greenlit for a third season, Ben, cousin Gwen and Grandpa Max are ready for action that will be loaded with epic transformations, never-before-seen aliens and foes, and with high-energy vehicles to kick hero-time into maximum overdrive. New episodes from the current season, including a half-hour special will introduce the newest alien trying to invade Ben’s world – Shock Rock, who is looking to conquer the world and drain the planet of energy and resources. Ben 10 is produced by Cartoon Network Studios and created and executive produced by Man of Action Entertainment.

OK K.O.! Let’s Be Heroes – With a console video game and a season two greenlight in hand, K.O. is leveling up with new adventures, threats and villains on the horizon. Surprise heroes will also make their debut alongside some familiar faces in special crossover episodes that will power up the action, laughter and comedy to the next level. The series is created by Ian Jones-Quartey.

Steven Universe – Created by Rebecca Sugar, the three-time Emmy-nominated and two-time GLAAD-nominated series returns this year with three all-new, action-packed story arcs. The stakes are higher than ever before for Steven and the Crystal Gems as they must face internal and external battles unlike any they have ever encountered.

The Amazing World of Gumball – Season six of this BAFTA and Emmy Award-winning series from Cartoon Network Studios EMEA conjures up a new Halloween special, as well as an episode filled with music and dance. The season will continue the warm-hearted adventures with the energetic and fearless blue cat—Gumball—and his idiosyncratic family, the Wattersons.

The Powerpuff Girls – As the original harbingers of girl power, the iconic brand has been an inspiration to generations of girls and young women since its initial launch in November 1998. Twenty years later, the anniversary celebration begins with a global rollout of new episodes, events and products that will continue into 2019. Fourth sister Bliss will also return later this year in a new episode.

Teen Titans Go! – Robin, Starfire, Raven, Beast Boy and Cyborg may be heading to the movies for their big theatrical debut on July 27, but they will also be back for all new episodes on Cartoon Network. Produced by Warner Bros. Animation, season five of the Emmy-nominated superhero comedy is expected to premiere later this year.

Unikitty! – Produced by Warner Bros. Animation and based on the beloved character from The LEGO® Movie, this sparkle-filled series will debut in May with a sneak peek in April on Cartoon Network.

We Bare Bears – Greenlit for a fourth season, the BAFTA and Annie Award-winning series created by Daniel Chong returns for ambitious adventures and more adorable baby bears. Set to debut later this year, the three bear brothers will have their funniest escapes yet in all-new episodes that will include holiday specials, a half-hour Halloween episode full of scary stories and a wedding where the bears come to the rescue as the best man.

New episodes of additional Cartoon Network favorites Mighty Magiswords and Clarence will also roll out through the year.

DIGITAL EXPERIENCES

Cartoon Network will offer fans digital experiences across mobile, web and streaming platforms to engage with the worlds of Adventure Time, Ben 10, OK K.O.! Let’s Be Heroes, Steven Universe, and We Bare Bears, among other properties to be announced.

Bloons Adventure Time TD – Developed by Ninja Kiwi and based on their megahit Bloons Tower Defense franchise, Bloons Adventure Time TD features the Bloon hordes invading the Land of Ooo! Finn and Jake will need all the help they can get to stop them. Players can recruit their favorite Adventure Time characters including Princess Bubblegum, Marceline, Ice King and more, as well as the monkeys from the Bloons TD franchise as they travel from kingdom to kingdom to send the Bloons packing. The free-to-play game will be available this summer.

Ben 10 Alien Experience – Featuring the Omni-Enhanced Aliens of Ben 10 season two and synergizing with the new Playmates Toys Action Figures, this updated and enhanced augmented reality game will feature new gameplay, levels and enemies allowing fans to become Ben 10 in their own environment. Players can also use the camera feature to transform themselves into even more Aliens than before and save their own Omni-Enhanced photos and videos. Ben 10 Alien Experience is a free, ad-supported game and expected to be updated on all mobile platforms in August.

The Steven Universe Podcast – With 10 new episodes launching as part of the third volume available this July, The Steven Universe Podcast will continue with an in-depth exploration of the people and places that make up the Steven Universe world. Each episode will include a close-up behind-the-scenes look at characters and surroundings featured in the beloved animated series.

I Think Gupta-Linked Zee Edged Us Out, Says Glow TV Boss

On Saturday, 31 March 2018 Glow TV was still a glow on DStv channel 167 and by Sunday, 1 April at midnight, the channel was snuffed out and now it looks like this:

The channel itself hasn't shut down because it's still available on OpenView HD and StarSat so what's going on?

TVSA has been receiving a blitz of queries from Glow fans asking what's going on and why the channel's soapies are no longer airing on DStv so we've been trying to find out - which has been easier said than done!

When only one channel doesn't get renewed.

The story starts last month when DStv published a press release stating that Glow TV would stop airing on DStv, with no reason given. All the release said was that Glow's contract has come to an end and the rest was an extended plug for other channels that also feature Indian soapies. This from the release:

Glow TV’s contract with MultiChoice is coming to an end, which means the channel will stop airing on DStv from 31 March 2018.

Fans of Indian-specific content needn’t worry - DStv has ensured that there are plenty more telenovelas, talk shows, music and movies to watch on Zee World (DStv channel 166), Zee Bollywood Movies (DStv channel 114) and eBella (DStv channel 159 from 5 March 2018).

Three things happened after this:
1. Glow TV launched an urgent application in the Johannesburg High Court against DStv, disputing the shutdown of the channel. The court ruled that Glow and DStv should resolve the dispute through arbitration.
2. The Glow TV soapie teasers disappeared in the crisis. TVSA has tried to get them from the channel but they haven't been available.
3. TVSA sent this query to MultiChoice:

"Please can we get comment from MultiChoice on why Glow won’t be on DStv anymore? We‘ve carried the Glow soapie teasers for years so we’d like to find out why to give readers insight."
We received this one line response from the MultiChoice Corporate Communications department which didn't answer the question:

"The contract has come to an end."
D-Day looms

On Thursday, 29 March, Nazeer Noormohamed, CEO of Glow and Managing Director of Nis Media (the South African-owned company who own Glow) launched an urgent court application to try to keep Glow on air until the arbitration between DStv and Glow has been completed.

The arbitration hasn't happened yet so Glow applied to stay on DStv until this has been done. The court refused the application, stating that the channel is on air because of its availability on OpenView HD and StarSat.

On Thursday evening, TVSA spoke with Nazeer after the court judgment. He told us that Glow would still be proceeding with the arbitration but he was concerned about the amount of time it will take.

"We're still going to continue an arbitration," Nazeer told us, "but these guys could now delay, delay, delay and before you know it it's six months or a year that we've been switched off.

"If we were switched on and then there was a delay, we wouldn't mind but now we're switched off and you know, a court process, so we could go for two years and then say, 'Yes, you're right, they can't switch you off,'but is there any point to that?" W.H.Y.

We asked Nazeer what reason DStv gave to Glow management for the switch-off and this is what he said:
Nazeer: "They first told us that we're not performing well so we said, 'Show us our stats, show us how we're not performing,'but they refused to show us how we're not performing, where we were not performing".

We think they're promoting Zee TV. We came to find out that they're paying Zee TV to be on air and they're not paying us so Zee TV's got an advantage over us. Zee TV owns a share or owned a share with New Age, which is the Gupta family and there was a link between the two.

"We feel that that was done through those kind of schemes you understand, to say, 'Listen here, get this guy out,' because if you say we're not performing...if I say your kid is not performing in school, the first thing you're going to ask is, 'Show me the report,' You can't just say he's not performing..how much did he get out of 10, out of 100? How much did he get? They're not prepared to show us that.

"I think Zee was behind it."

"You know, MultiChoice didn't want encryption on the government set boxes, and the minister, who was the last minister, was the one who was supporting DStv, you know that, politically, although the ANC was against it".

"The ANC said they wanted encryption but the minister himself and the president was supporting MultiChoice/DStv and that's what we believe, it is our belief that the Guptas influenced whoever to say "Support DStv" and DStv in turn supported the Guptas with Zee TV and now all this has to come out and how and when - do we have the energy to take it on? I don't know.

We're going to go for the arbitration, even if it's just academic, it's fine. But wait, the plot thickens...This isn't the first time that Nazeer and the Guptas have made the headlines when it comes to matters of TV.

In September last year City Press reported that Nazeer and a consortium that he headed-up (Southern Star Mega Investors Group) offered the Guptas R600-million for their Infinity Media (which includes ANN7), which the Guptas sold to Mzwanele Manyi for R450-million instead...what about e?

Interesting to note is the shutdown of Glow comes in the same month that eBella launched on DStv, which, as DStv's press release emphasises, also has Indian soapies. The launch of eBella takes the e stable of channels on DStv to five.
