MultiChoice BEE Shareholders Approve LicenceCo Structure

MultiChoice has announced that the shareholders of its Phuthuma Nathi black economic empowerment investment vehicle have approved the reorganisation proposed as part of the Canal+ acquisition.

The Competition Tribunal recently approved the R55-billion transaction, subject to several agreed-upon conditions, including a reorganisation of MultiChoice South Africa Holdings (MCSAH).

The transaction faced two major challenges that had to be overcome by a clever restructuring of the MultiChoice organisation to comply with local requirements.

Firstly, the Electronic Communications Act stipulates that foreign shareholders are limited to 20% of the voting rights of broadcasting licensees.

Secondly, the Independent Communications Authority of South Africa (Icasa) requires licensees to be 30% owned by historically disadvantaged individuals, including black people, women, and the disabled.

To comply with local regulations, MultiChoice (Pty) Ltd will be carved out as an independent entity to hold the South African operating licences. MultiChoice refers to this entity as LicenceCo.

MultiChoice Group is reducing its shareholding in LicenceCo, which holds its broadcasting licence in South Africa, to a 49% economic interest and 20% voting rights through transactions with four entities.

On or around 1 August 2025, MultiChoice entered into various subscription, repurchase, and shareholders agreements with Phuthuma Nathi, 13th Avenue Investments, Identity Partners Itai Consortium (IPIC), and the MultiChoice Workers Trust.

The Workers Trust is another broad-based ownership scheme established for the transaction. Its beneficiaries are employees of LicenceCo and key LicenceCo suppliers.

13th Avenue Investments comprises various investment vehicles associated with Sipho Maseko, Neo Lesela, Khanyisile Kweyama, and Philisiwe Sibiya. Maseko is well known in the telecoms industry as the former CEO of Telkom.

IPIC is owned by investment vehicles associated with Sonja de Bruyn, Maxell Nyanteh, Talaleni Moshapo, Ernest Kwinda, and Eugene Govender.

MultiChoice said these individuals were highly experienced leaders who held great commercial and industry knowledge.

The four entities will receive a mix of ordinary and notional vendor-funded shares. These shares will initially have limited rights but gradually convert to full shares as funding balances reduce.

Extraordinary dividend for shareholders

Phuthuma Nathi will acquire its shareholding in LicenceCo through a loan claim of R3.77 billion from MultiChoice, while 13th Avenue and IPIC will pay a combined R287 million for their shares.

Phuthuma Nathi also owns 25% of Orbicom, MultiChoice South Africa’s signal distributor, through an indirect shareholding in the MultiChoice South Africa Holdings (MCSAH) business.

This shareholding will be increased to 40% with Phuthuma Nathi taking a 20% direct stake in Orbicom.

The LicenceCo and Orbicom transactions will effectively result in MultiChoice disposing of 26% of its economic interest in LicenceCo and 15% of its economic interest in Orbicom.

MultiChoice said that the reorganisation does not require MultiChoice shareholder approval as it was a Category 2 transaction under JSE rules.

MultiChoice and Phuthuma Nathi shareholders will receive a R1.375 billion extraordinary dividend, of which R343.75 million will be attributable to Phuthuma Nathi.

“The payment of this extraordinary dividend is subject to the implementation of the steps in the Reorganisation which preceded the payment of this dividend,” MultiChoice said.

For several years, Telemundo had been gracing viewer's screens with a lineup of Spanish telenovelas Latin America, Mexico and Colombia. From 1st September, eMedia Investments is set to add Colombian drama, Love Of My Life (Devuélveme La Vida) to eExtra.

Synopsis for Love Of My Life

When the father of Mariana Azcarate, the heiress of the La Victoria cotton farm, discovers that his daughter is in love with Joaquín, an Afro day laborer, he opposes it, and makes the decision to get rid of him and the baby that is on the way. However, Joaquín survives the assassination attempt and flees to save his life. Years later, Mariana will discover that she was deceived, and that Joel, her son presumed dead in childbirth, was stolen at birth. He falls in love with Sara, Mariana's adopted daughter and new heir to the hacienda, while Joaquín, who managed to survive, has returned to exact revenge on the Azcarate family.

The series premiered from 16 April 2024 and concluded on 15 July 2024 after 60 episodes on Caracol Television. The broadcaster has distributed a number of shows in South Africa including Ana's Revenge (Telemundo), The Girl (Soweto TV) and Living To Love (ST Novelas).

In other developments, a rebroadcast of Impak is expected to replace Doodloopstraat once it ends on September 10 at 22:00. Meanwhile, Love Of My Life replaces the Bollywood drama Ajooni in its 14:25 timeslot from September 1st probably in an attempt to not clash with e.tv's Uzozisola - Regrets.

Cartoon Network Africa Has Been Acknowledging It's Older Library Of Content

It appears that Cartoon Network in Africa has been following a trend seen in the United States and some parts of the world where various old content has suddenly now resurfaced on the channel. First there was Scooby-Doo! Mystery Incorporated followed by Batman: The Brave And The Bold.

To some viewer's surprise, the channel aired The Powerpuff Girls: The Movie something which dates back to the early 2000s. A timeline Warner Bros. Discovery had been very distant toward I mean most of the content they have in development are based on IPs from 2010.

These include Steven Universe: Lars Of The Stars, A Regular Show revival series and The Wonderfully Weird Of Gumball. Only one of the three will be added to Cartoon Network while the latter could be made exclusive to streaming.

If you are a viewer like myself you're probably even wondering why after 8-10+ years this channel had started allocating this content. My presumed guess would have to do with the merger of WarnerMedia and Discovery to form Warner Bros. Discovery, which again is set to split.

During this merger period, Warner Bros. Discovery cancelled several projects some of which had fully been developed such as Scoob! A Holiday Haunt and Batgirl. As for Cartoon Network, reports had surfaced that a Megas XLR revival was in development but due to this merger it got killed off.

Warner Bros. Discovery has been floating in debt worth almost $40 billion and according to some insiders the company stopped commissioning for Cartoon Network and are leveraging of IPs instead. They can't risk losing more money so they'd rather do more sequel series for Adventure Time to make money.

The Wonderfully Weird World Of Gumball which is expected to debut on Cartoon Network in October, has been added to Hulu in the US. Steven Universe: Lars Of The Stars is in development for Prime Video so don't be surprised if that never sees the light of day on Cartoon Network.

Some can argue that Warner Bros. has got plenty of content from these companies very much like NBCUniversal has with DreamWorks Animation. But in reality, a majority of these shows reside outside of Cartoon Network's current demographic being 6-12 year olds.

In the US, consumers have a shot in viewing this content through the channel's adult block in other countries offering such content on Cartoon Network would be a punishable offence. This would leave Cartoon Network in other countries with old content.
